We will make reasonable efforts to provide our Services according to the agreed-upon timeframes and specifications. However, all timeframes provided are estimates only and are not binding unless explicitly stated otherwise in a separate written agreement.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time. For ongoing service agreements, we will provide reasonable notice of material changes.

4. Client Responsibilities

4.1 Cooperation

Clients agree to provide timely and accurate information, materials, and approvals as necessary for BeeAutomated to deliver the Services.

4.2 Access and Authorization

Clients are responsible for providing necessary access to systems, platforms, and data required for the implementation and operation of our AI automation solutions, as well as ensuring they have proper authorization to grant such access.

4.3 Compliance

Clients are responsible for ensuring that their use of our Services complies with all applicable laws and regulations, including data protection laws.

5. Intellectual Property

5.1 Our Intellectual Property

All intellectual property rights in our Website, Services, and any software, methodologies, tools, or technologies used to provide the Services, remain the property of BeeAutomated or our licensors. Nothing in these Terms & Conditions transfers any such rights to the Client except as expressly provided.

5.2 License to Use

We grant Clients a non-exclusive, non-transferable license to use our AI automation solutions and deliverables solely for their internal business purposes in accordance with these Terms & Conditions and any applicable service agreement.

5.3 Client Materials

Clients retain all rights to any pre-existing materials, data, and content they provide to BeeAutomated for the purpose of delivering the Services. Clients grant BeeAutomated a license to use, reproduce, and modify such materials solely as necessary to provide the Services.

5.4 Feedback

If Clients provide feedback, suggestions, or ideas about our Services, we may use this information for any purpose without obligation or compensation to the Client.

6. Payment Terms

6.1 Fees

Fees for our Services are as stated on our Website, in a quotation, or in a separate service agreement. All fees are exclusive of applicable taxes unless otherwise stated.

6.2 Payment Schedule

Payment terms will be specified in the invoice or service agreement. Unless otherwise agreed, invoices are due within 30 days of the invoice date.

6.3 Late Payments

We reserve the right to charge interest on late payments at 2% per month or the maximum rate permitted by law, whichever is lower. Clients are responsible for all reasonable expenses incurred by BeeAutomated in collecting late payments.

6.4 Suspension of Services

We may suspend Services if payment is more than 15 days overdue, after providing notice of the overdue payment.

7. Confidentiality

7.1 Confidential Information

Both parties agree to keep confidential any proprietary or non-public information received from the other party during the course of providing or receiving Services.

7.2 Exclusions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was known to the receiving party prior to disclosure
  • Is independently developed by the receiving party
  • Is required to be disclosed by law or court order

7.3 Duration

Confidentiality obligations continue for a period of 2 years after the termination of our Services, unless specified otherwise in a separate agreement.

8. Data Protection

8.1 Data Processing

BeeAutomated will process personal data in accordance with our Privacy Statement and applicable data protection laws.

8.2 Data Processing Agreements

For Services involving the processing of personal data on behalf of Clients, a separate data processing agreement may be required.

9. Warranties and Disclaimers

9.1 Service Warranty

BeeAutomated warrants that our Services will be performed with reasonable skill and care in accordance with industry standards.

9.2 Disclaimer

Except as expressly stated in these Terms & Conditions, all Services are provided "as is" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.3 AI Technology Disclaimer

AI automation solutions involve complex technologies and may not be completely error-free. BeeAutomated does not warrant that AI solutions will be uninterrupted, error-free, or achieve specific results unless expressly agreed in writing.

10. Limitation of Liability

10.1 Exclusion of Liability

BeeAutomated shall not be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption, arising out of or in connection with these Terms & Conditions or the use of our Services.

10.2 Liability Cap

In no event shall BeeAutomated's total liability to the Client exceed the amount paid by the Client for the Services during the 12 months preceding the event giving rise to the liability.

10.3 Exceptions

Nothing in these Terms & Conditions excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

11. Term and Termination

11.1 Term

These Terms & Conditions remain in effect until terminated by either party or superseded by a separate service agreement.

11.2 Termination by Client

Clients may terminate Services by providing written notice according to the terms specified in their service agreement. If no notice period is specified, 30 days' notice is required.

11.3 Termination by BeeAutomated

BeeAutomated may terminate Services:

  • With 30 days' written notice to the Client
  • Immediately if the Client breaches these Terms & Conditions
  • Immediately if the Client fails to pay any amount due within 30 days of the due date

11.4 Effect of Termination

Upon termination:

  • The Client shall pay all outstanding fees for Services provided up to the date of termination
  • All licenses granted to the Client shall terminate unless otherwise agreed
  • Sections on intellectual property, confidentiality, limitation of liability, and payment shall survive termination

12. Force Majeure

Neither party shall be liable for failure to perform obligations under these Terms & Conditions if such failure is due to circumstances beyond their reasonable control, including but not limited to natural disasters, governmental actions, war, terrorism, civil unrest, fire, explosion, power failures, internet service provider failures, or labor disputes.

13. General Provisions

13.1 Entire Agreement

These Terms & Conditions, together with any service agreement, constitute the entire agreement between BeeAutomated and the Client regarding the Services and supersede all prior agreements and understandings.

13.2 Amendments

We reserve the right to update these Terms & Conditions at any time. Changes will be effective upon posting to our Website. Continued use of our Services after changes constitutes acceptance of the revised Terms & Conditions.

13.3 Assignment

Clients may not assign these Terms & Conditions or any rights or obligations without our prior written consent. BeeAutomated may assign these Terms & Conditions to any successor in interest or affiliated company.

13.4 No Waiver

Failure by BeeAutomated to enforce any provision of these Terms & Conditions shall not be construed as a waiver of any provision or right.

13.5 Severability

If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.6 Relationship

Nothing in these Terms & Conditions creates any agency, partnership, joint venture, or employment relationship between BeeAutomated and the Client.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the jurisdiction where BeeAutomated is established, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms & Conditions shall be resolved through negotiation in good faith. If the dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of the jurisdiction where BeeAutomated is established.
